In these Terms of Service, the following definitions apply:

• “Company,” “We,” “Us,” or “Our” refers to Amanix Digital, a digital marketing and website design agency based in Edmonton, Alberta, Canada.
• “Client,” “You,” or “Your” refers to any business entity, organization, or individual that accesses our website or engages our digital services.
• “Services” refers to the design, engineering, and digital marketing services we deliver, including custom website design, local SEO, Google Ads management, lead conversion systems, and reputation management.
• “Website” refers to amanixdigital.com and all associated web pages and subdomains.
• “Agreement” refers to these Terms of Service together with any accepted proposal, statement of work, or service estimate.

2. Acceptance of Terms

By browsing this website or engaging Amanix Digital for marketing or website development projects, you confirm that you have read, understood, and agreed to these Terms of Service and our Privacy Policy.

We reserve the right to revise or update these terms at our discretion. Any changes will be posted immediately with a revised “Last Updated” date. Continued engagement represents full acceptance of updated terms.

3. Services Description

Amanix Digital provides high-performance website design and digital marketing services for home service businesses and local enterprises in Edmonton, Alberta, and across Canada. Services include:

• Custom Website Design: Mobile-responsive, high-converting websites engineered for local trade and service contractors.
• Local SEO: Google Business Profile optimization, local citation architecture, map pack rank tracking, and on-page technical optimization.
• Google Ads Management: High-intent search campaigns, call tracking, conversion optimization, and ad spend monitoring.
• Lead Generation & Conversion: Direct call triggers, rapid quote request funnels, and automated pipeline integration.
• Reputation Management: Review acquisition systems, feedback alerts, and local social proof marketing.

4. Service Flexibility & Contracts

Any ongoing support terms will be defined in the written agreement for the relevant scope, including deliverables, timing, payment terms and cancellation conditions.

5. Payment Terms

5.1 Fees and Invoicing

• All project deliverables, fees, and milestones are outlined in your written project proposal.
• Website design projects typically require a 50% deposit prior to project commencement, with the remaining balance due upon milestone completion or staging approval prior to final launch.
• Monthly retainer services (SEO, Ads management, maintenance) are invoiced in advance on the 1st of each billing cycle.
• Fees are quoted in Canadian Dollars (CAD) unless explicitly agreed upon in writing otherwise. Applicable provincial/federal sales taxes (GST) apply to Canadian clients.

5.2 Late Payments

Invoices unpaid after 14 days may be subject to a 1.5% monthly late finance fee. Ongoing digital campaigns or hosting support may be paused until past due accounts are brought to current standing.

5.3 Refunds

Due to the bespoke nature of digital engineering and custom marketing work, fees for hours, media spend, or delivered milestones are non-refundable once work has commenced. Prepaid unearned retainers may be credited or refunded on a case-by-case basis.

6. Client Responsibilities

To ensure timely and successful project execution, clients agree to:

1. Provide necessary administrative or access credentials (domain registrar, Google Business Profile, hosting accounts, social accounts) in a timely manner.
2. Provide business information, brand guidelines, logos, photography, or copy reviews within 3 to 5 business days of request.
3. Ensure all imagery, logos, and materials provided belong to the client or have proper licensing rights.
4. Review and approve wireframes, design mockups, and staging previews promptly to prevent project bottlenecks.

7. Intellectual Property & Ownership

7.1 Client Deliverables

Upon receipt of full payment for completed projects, you own 100% of your website design files, custom branding assets, code deliverables, and published website content. Amanix Digital does not hold websites hostage.

7.2 Proprietary Methodologies

Amanix Digital retains ownership of internal workflows, pre-existing code libraries, proprietary optimization frameworks, and backend tracking scripts utilized to provide services.

7.3 Portfolio Display

We reserve the right to showcase launched website designs, case study summaries, and performance highlights in our marketing portfolio, unless a non-disclosure agreement (NDA) has been formally executed.

8. Performance & Results Disclaimer

• We do not make deceptive promises or guarantees of overnight rankings, given that Google and advertising platforms operate independently.
• SEO campaigns typically require 3 to 6 months of steady authority building to achieve optimal organic visibility.
• Ad campaign click costs and lead volume depend on geographic competition and allocated media ad budgets.

9. Confidentiality

Both parties agree to treat business records, financial figures, customer leads, and strategic marketing details shared during project execution as strictly confidential. Confidentiality duties remain in effect after project completion.

10. Limitation of Liability

To the maximum extent permitted under applicable law:

• Amanix Digital’s cumulative liability for any claim arising from our services shall not exceed the amount paid by the client in the 3 months preceding the claim.
• We are not liable for incidental, indirect, consequential, or lost revenue damages resulting from third-party outages (e.g., domain registrar downtime, Google algorithm updates, meta platform suspensions).

11. Governing Law & Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Edmonton, Alberta, Canada.

12. Dispute Resolution

In the event of a disagreement, both parties commit to attempting good-faith informal negotiations first. If unresolved, parties agree to pursue structured mediation in Edmonton, Alberta, with shared mediation expenses, before initiating court litigation.
